Councillor Observer Attendance at Council-Controlled Entity Board Meetings

That the changed Committee Recommendation GAF26.0901.010 be adopted as follows: 1 That the Chief Executive Officer obtains independent legal advice on the proposed attendance of Councillors as observers at meetings of Council- controlled entity boards, including the application of the Corporations Act 2001 (Cth) and the Local Government Act 2009 (Qld), any potential shadow or de facto director risk, and the implications for directors’ duties, board independence, governance, accountability, conflicts of interest and confidentiality; 2 That the Chief Executive Officer consults with the boards of Council-controlled entities regarding the proposal and any practical or governance matters that would need to be addressed; and 3 That a report be presented to the November 2026 Ordinary Meeting of Council outlining the outcomes of the legal advice and consultation, together with recommendations on whether, and subject to what safeguards, the proposal should proceed.
